1. Acceptance of Terms

By accessing or using services provided by HiClip.ai ("Services"), you agree to comply with these Terms of Service ("Agreement"). If you do not agree, do not use the Services.

2. Eligibility

A. Age Requirements

• Users must be at least 13 years old.
• Children under 13 may use the Services only with parental/guardian consent and supervision.
• Users aged 13–17 confirm they have obtained parental/guardian permission.

B. Business Use

If using Services on behalf of an organization:

• You warrant authority to bind the entity to this Agreement.
• Sharing credentials outside your organization is prohibited.

3. Account Responsibilities

A. Registration

• Provide accurate, complete information during signup.
• Do not impersonate others or transfer accounts without consent.

B. Security

• Safeguard your account credentials.
• You are liable for all activities under your account.

4. Content & Intellectual Property

A. Content Definition

"Content" includes videos, audio, graphics, text, software, and user submissions.

B. Ownership

• Content remains the property of its creator/licensor.
• HiClip.ai retains all rights to the Services and platform.

C. Permissions

• Use Content only for personal, non-commercial purposes unless licensed for commercial use.
• Reverse engineering, scraping, or unauthorized distribution is prohibited.

5. User Submissions

A. Your Content

You retain ownership but grant HiClip.ai a global, royalty-free license to:

• Host, modify, and distribute submissions to operate the Services.
• Use public submissions for marketing purposes.

B. Prohibited Content

Do not submit content that:

• Infringes intellectual property rights.
• Is illegal, abusive, discriminatory, or exploitative.
• Promotes scams, hate speech, or violence.

6. Payments & Subscriptions

A. Paid Services

• Fees for premium features are outlined on our Pricing Page.
• You authorize automatic billing via third-party processors (e.g., Stripe, PayPal).

B. Renewals & Cancellations

• Subscriptions auto-renew unless canceled in Account Settings.
• No refunds for partial billing periods.

C. Free Trials

Trials convert to paid subscriptions unless canceled before trial ends.

7. Termination

A. By You

• Delete your account via Account Settings.

B. By HiClip.ai

We may suspend/terminate accounts for:

• Breach of this Agreement.
• Fraudulent or illegal activity.
• Platform security risks.

8. Disclaimers & Liabilities

A. Service "As-Is"

Services are provided without warranties of accuracy, reliability, or fitness for purpose.

B. Indemnification

You agree to cover losses/damages arising from your misuse of Services.

9. Third-Party Services

• Services may link to external sites.
• We are not responsible for third-party content, privacy policies, or transactions.

10. Legal Provisions

A. Governing Law

This Agreement is governed by Hong Kong law.

B. Dispute Resolution

• Informal negotiation required before arbitration.
• Claims must be filed within 1 year of occurrence.

C. Arbitration

• Disputes resolved via binding arbitration in Hong Kong.
• Class actions are waived.

11. Updates to Terms

• HiClip.ai may update these terms.
• Continued use after changes implies acceptance.
